1. Agreement
By creating an account, connecting a WhatsApp number, or using Messageroots (“Service”), you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you use the Service for a company, you confirm you are authorised to bind that company.
If you do not agree, do not use the Service.
2. The Service
Messageroots provides tools to help businesses communicate on WhatsApp, including (depending on plan and setup):
- QR / linked-device connection and optional Meta Cloud API accounts
- Contact lists, paced sending, image/media sharing, and send history
- Team inbox, CRM, automations, chatbots, newsletters
- Catalogue / store features and related integrations
Features may change as we improve the product. We may suspend access for maintenance, abuse, non-payment, or legal risk.
3. Accounts & workspaces
- Provide accurate registration information and keep it updated.
- You are responsible for activity under your workspace and for safeguarding login methods (password, OTP, linked devices).
- Notify us promptly of unauthorised access at support@messageroots.com.
- Master/admin users may manage or pause customer workspaces as described in-product.
4. WhatsApp & third-party platforms
WhatsApp is provided by Meta. Your use of WhatsApp through Messageroots must also comply with Meta’s WhatsApp Business and Cloud API terms, commerce policies, and acceptable use rules.
- Personal / QR sessions use unofficial Web-style linking and carry higher risk of session disconnect or account limits than official Cloud API. You accept that risk when you choose this path.
- Cloud API requires valid Meta credentials and approved templates where Meta requires them.
- We are not Meta and do not control WhatsApp delivery, bans, or policy enforcement.
5. Acceptable use
You agree not to use the Service to:
- Spam, phish, harass, or send illegal, harmful, or deceptive content
- Message people without a lawful basis / consent where required (opt-in)
- Violate intellectual property, privacy, or export laws
- Probe, abuse, or overload our systems or the WhatsApp gateway
- Resell the Service without our written permission
- Upload malware or content that exploits minors
We may investigate and suspend or terminate accounts that breach these rules.
6. Messages, contacts & media
You retain ownership of content you upload (messages, images, product photos, templates). You grant us a licence to host, transmit, and process that content solely to operate the Service.
- Image and file sending requires a connected session (Auto send). Manual “open chat” links cannot attach files.
- You are responsible for rights to any image or media you upload and for captions you send.
- You must honour opt-outs (for example STOP) and keep contact records accurate.
7. Plans, trials & fees
Paid plans, quotas, and add-ons are described in-product or in an order form. Fees are non-refundable except where required by law or expressly stated. We may change pricing with notice for renewals. Failure to pay may result in suspension.
8. Intellectual property
Messageroots branding, software, UI, and documentation are owned by us or our licensors. You may not copy, reverse engineer, or create derivative works except as allowed by law or a separate licence.
9. Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted WhatsApp delivery or that the Service will meet every business requirement.
10. Limitation of liability
To the maximum extent permitted by law, Messageroots and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability for claims relating to the Service is limited to the fees you paid us for the Service in the three (3) months before the claim (or INR 5,000 if no fees were paid).
11. Termination, law & contact
You may stop using the Service at any time. We may suspend or end access for breach, risk, or non-payment. Provisions that should survive (IP, liability limits, indemnity-style obligations, governing law) will survive.
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in India shall have exclusive jurisdiction, unless mandatory consumer law says otherwise.
